AGREEMENT FOR SERVICES BETWEEN

OUTSIDE AGENT NAME

TRAVEL QUEST OF MONTICELLO
(Carlson Wagonlit/Travel Quest)

 

          This agreement, effective MM/DD/YYYY by and between Travel Quest of Monticello, LLC (Carlson Wagonlit/Travel Quest) located 6563 Laketowne Place, Ste. B, Albertville, MN 55301 hereinafter referred to as (TQM) and ___________________ a Travel Quest of Monticello Associate/Independent Contractor hereinafter referred to as  (Independent Contractor).

WITNESSETH

          WHEREAS, TQM desires to retain Independent Contractor for the purposes described in this Agreement; and

          WHEREAS, Independent Contractor also desires to perform certain services on behalf of TQM as specified in this agreement.

          NOW therefore, for and in consideration of the mutual covenants and agreements contained herein, the parties hereby agree as follows:

1. TERM.  This agreement shall be deemed to commence as of ________.  Either party has the right to terminate this agreement with
Thirty (30) days notice with or without cause, however, any services as outlined in Section 2 that were initiated prior to the termination of this agreement shall be governed by the terms of this agreement.

2. SERVICES.  Independent Contractor agrees to perform certain services (described below) on behalf of TQM

2.1 Independent Contractor is a person having interest and ability to transact travel sales from clientele unassociated with the agency TQM.  The Independent Contractor requires the assistance and legal status of a fully appointed travel agency TQM to fulfil quality services to its clients.

2.2 Independent Contractor represents TQM in travel related services.  TQM’s best interests need to be recognized throughout the term of this agreement.

2.3 Independent Contractor agrees to follow the rules of the Airlines Reporting Corporation (ARC), the International Airlines Travel Agency Network (IATAN) and all other appointed travel suppliers or vendors.

2.4 Independent Contractor is responsible for ticket assembly and delivery to client after receipt from TQM.

2.5 Such services are hereinafter referred to as the “Services”.

2.6 Independent Contractors may be listed on the IATAN List and hold an IATAN Card provided they meet the requirements of IATAN.

2.7 Travel documents will be sent to Independent Contractor via U.S. Mail Service, (regular mail delivery), Fed Ex, or UPS, per Independent Contractor instructions.  Cost for delivery is at the expense of  Independent Contractor.  Independent Contractor assumes responsibility for mailed travel documents.

2.8 All debit memos are to be settle with airline with 3 business days of receipt in agents office.

 

3. COMPENSATION.  TQM and Independent Contractor agree to the following fee agreement:

3.1 Independent Contractor is paid solely by commission earned through travel sales and is not considered an employee of TQM.

3.2 Independent Contractor commission will be paid on the 20th of each month for commissions received in house by TQM from both ARC and non ARC sales generated by said Independent Contractor during the previous calendar month.

3.3 Independent Contractor agrees to the commission structure checked below.  Check only one.

____100% commission for monthly fee of $250 per month.
____80% IC 20% TQM commission split for monthly fee of $20 (if on annual payment plan. $25/mo if on monthly payment plan.)
_____70% IC 30% TQM commission split for no monthly fee.

3.4 Independent Contractor commission on all sales other than those paid by ARC will be paid upon the following conditions.

1. Commission has been received in house.
2. Any discount given by agent has been invoiced at TQM.

3.5 Independent contractors requesting monthly commission checks after termination of the agreement will incur a $50 per commission check administrative fee.

3.6 Upon Termination of this agreement for any reason, commissions from bookings after termination of this agreement will cease to be paid. Business generated prior to termination date will be paid when commission is received.

3.7 Any bookings made thru TQM prior to termination notice must remain under the TQM’s ARC number. Bookings will not be transferred to any other ARC number.

4. TERMS.  TQM and Independent Contractor agree to the following terms:

4.1 Independent Contractor is responsible for payment of all airline ticket sales (ARC issued) .  Cash or Check sales must have payment to TQ by EOP – End of Period of reporting week, Monday 12:00 Noon.

4.2 Independent Contractor is responsible to have all support documentation for ARC sales to TQ by EOP – End of Period of reporting week, Monday 12:00 Noon.

4.3 Independent Contractor is responsible for all non-ARC payments prior to TQM issuing a payment to a vendor or travel provider.  All non-ARC payments must be paid to TQM and not directly to vendor or travel provider.  All non-ARC payments must be paid by vendor due date.

    4.3.1 Independent Contractor understands that all travel related purchases made through TQM must be paid for with a valid credit card or with a company check from said Independent Contractor.  Payment must be made in full prior to the distribution of the ticket or document.  Independent Contractor shall be responsible for all charge backs from the credit card company for any reason at all.  Independent Contractor shall have responsibility for full payment of all travel related purchases made through TQM regardless of whether or not Independent Contractor receives payment for the same from its customer.  There is no account receivable credit available to Independent Contractor or client of Independent Contractor from TQM.

4.4 Independent Contractor agrees to let TQM debit the Independent contractors Commission to satisfy unpaid invoices or debit memos.

4.5 Independent Contractor is responsible for ticket assembly and delivery.  Cost associated with delivery of tickets or travel documents is the responsibility of the Independent Contractor.

4.6 Independent contractor agrees not to remove ARC ticket stock, agent or auditors coupons or any other accountable documents from TQM.

4.7 Independent Contractor cannot authorize persons to represent themselves as TQM representatives or use TQM IATAN/ARC unless previously authorized by Bonita S. Lee.  All authorized persons must have a signed contract and be covered by our Errors and Omissions insurance.

4.8 Independent Contractor shall be solely responsible for all transactions he/she initiates.  Transactions that lead to disputes, litigation or legal expenses are to be paid by the Independent Contractor.

5. CONFIDENTIALITY.  The parties to this agreement agree that all information gathered or learned as a result of this agreement, including, but not limited to, marketing plans, business practices and customer lists of the other party shall remain confidential at all times and shall not be disclosed to any third party without the consent of the other party to this agreement.  The terms of this Section 5 shall survive expiration or termination of this agreement.

6 . INDEPENDENT CONTRACTOR.  __________________ is an Independent Contractor and all persons employed to furnish the Services described herein shall be employees of Independent Contractor and not TQM.  This agreement shall not create an agency, partnership, employer, employee, principal agent or joint venture relationship between Independent Contractor and TQ.  The parties shall have no authority to bind the other party to any agreements, contracts, representations or warranties.  Independent Contractor shall be responsible for the payment of any federal state taxes, including any social security taxes for which it may be liable.  In addition, premiums for Workers Compensation and Unemployment Compensation will not be paid by the agency TQM.  Independent Contractor is not eligible for any employee benefits, including but not limited to leave of any type, unemployment or disability compensation, retirement, health or death benefits.

7. NOTICES.  All notices, requests, demands and other communications required under or given pursuant to this agreement shall be in writing and shall be effective when delivered personally or mailed by U.S. Mail, postage prepaid to the other party at the address indicated below:

8. ASSIGNMENT.  Neither Independent Contractor nor TQM may assign this agreement without the prior written consent of the other party.

9. ENTIRE AGREEMENT.  This agreement is intended to be a complete and exclusive statement of the terms of the agreement of the parties hereto and supersedes any prior agreements, whether oral or in writing.  The parties acknowledge that this agreement does not constitute any offer of employment.  This agreement may not be modified, rescinded, changed, waived, discharged or terminated, except by writing signed by the party against whom enforcement is sought.

10. HEADINGS.  The headings used in this agreement are inserted only as a matter of convenience and for reference and in no way define, limit or described the scope of this agreement nor the intent of any provision thereof.

11.  BINDING.  This agreement shall insure to and bind the successors, assigns and representations of the parties provided however, that this agreement may only be assigned consistent with the provisions of Section 1 of this agreement.
